    1. Special Tips

1.1 The User Agreement of Bafang Dealer Service Platform (hereinafter referred to as the "Agreement") is an agreement entered into between the service users (hereinafter referred to as the "User") and Bafang Electric (Suzhou) Co., Ltd. (hereinafter referred to as the "Company" or "We") concerning users' use of the website "Bafang Dealer Service Platform", use and management of the account of Bafang Dealer Service Platform, and use of the relevant services provided by the Company.

1.2 The software "Bafang Dealer Service Platform" is developed by Bafang Electric (Suzhou) Co., Ltd. and agreed to provide related services based on Internet and mobile network in accordance with the provisions of this Agreement and the operation rules released by it from time to time. In order to access the services, Users shall carefully read and fully understand the provisions of this Agreement, especially the disclaimer clauses concerning the exemption or limitation of the responsibilities of the Company, the clauses restricting rights of the Users, and the clauses stipulating the settlement of disputes, jurisdiction and application of law. Please carefully read and fully understand and agree to all contents of this Agreement before using the services provided by the Bafang Dealer Service Platform. If you do not accept part or all of the contents of this Agreement, do not use any service provided by the Bafang Dealer Service Platform. (Persons without capacity for civil conduct shall not use the services, and persons with limited capacity for civil conduct shall use the services with the consent and guardianship of their legal guardians).

2. Statement on Intellectual Property Rights

2.1 The software "Bafang Dealer Service Platform" is developed by our company. All copyright, trademark right, patent right, trade secret and other intellectual property rights, as well as all relevant information contents of the software "Bafang Dealer Service Platform", including but not limited to text expression and combination, icons, graphics, diagrams, colors, interface design, layout frame, relevant data, printed materials, or electronic documents, are protected by the Copyright Law, Trademark Law, Patent Law, Anti-Unfair Competition Law of the People's Republic of China, relevant international treaties and other intellectual property laws and regulations. Except for the software or technologies licensed by third parties, the Company enjoys the intellectual property rights mentioned above.

2.2 Without the written consent of the Company, the User shall not, at its own decision, or permit any third party to enforce, utilize or transfer the intellectual property rights mentioned above for any for-profit or not-for-profit purposes, and the Company reserves the right to investigate the legal liability of the above illegal acts.

3. Scope of Application

3.1 Users are allowed to run the software "Bafang Dealer Service Platform" on their terminal equipment for non-commercial purposes. Users shall not install, use or run the software "Bafang Dealer Service Platform" for any commercial operation purposes, nor shall they copy, alter or modify the data of the software or the data released into the memory of any computer terminal during the running of the software or the interaction data between the client and the server during the running of the software, or hook and run or create any derivative works on the basis of these data in the ways including but not limited to accessing to the software and relevant systems by using any plug-ins or unauthorized third-party tools/services.

3.2 Reservation of Rights: All other rights not expressly authorized to use shall remain in the possession of the Company, and Users shall obtain the written consent of the Company when using other rights.

4. Service Contents

4.1 The specific contents of the services available on the "Bafang Dealer Service Platform" are provided by the Company according to the actual situation, mainly including Warranty request, shopping, view training files and news.

4.2 Part of the services available on the "Bafang Dealer Service Platform" are charged, and Users shall pay certain fees to the Company when accessing these charged services. For the charged services, we will try our best to give Users a clear prompt before using them, and Users can only access such charged services after they confirm that they are willing to pay relevant fees according to the prompt. If the user refuses to pay the relevant fees, the Company shall have the right not to provide such charged services to the User.

4.3 The Users understand and acknowledge that the Company only provides the services available on the Bafang Dealer Service Platform. Therefore, the fees charged by relevant network service-related equipment (such as personal computers, mobile phones, other devices related to accessing to the Internet or mobile network) and third parties (such as the telephone and Internet charges for accessing to the Internet, mobile phone charges for use of mobile network) shall be borne by Users themselves.

5. Changes, Interruption or Termination of Services

5.1 In view of the special nature of the services, the Users acknowledge that the Company has the right to change, interrupt or terminate part or all of the services (including the charged services and the free services) at any time it deems necessary. If the services to be changed, interrupted or terminated are free of charge, the Company shall neither notify Users nor bear any liability to any User or any third party; if the network service to be changed, interrupted or terminated is charged, the Company shall give prior notice to Users prior to the change, interruption or termination, and shall provide the affected Users with an alternative charged service of equivalent value. If any User is not willing to accept the alternative charged service, the Company shall refund the remaining service fee to the User after deducting the corresponding service fee based on the actual use of the corresponding charged service by such User.

5.2 The Company will overhaul or maintain the platform providing the services (e.g. Internet website) or related equipment on a regular or irregular basis. In case of interruption of any charged service for a reasonable duration due to such circumstances, the Company shall not be liable for such interruption and shall give prior notice except in special circumstances.

5.3 The Company shall have the right to interrupt or terminate the services provided hereunder to the User at any time [including but not limited to the services for free and charged (including the free services based on the advertising business model)] without any liability to the Users or any third party if:

5.3.1 The authenticity, integrity, accuracy, legality and validity of the personal data provided by the User are questionable;

5.3.2 The User violates any rules of use set forth herein;

5.3.3 The User fails to pay the corresponding service fee to the Company when accessing any charged service.

5.4 The name, E-mail address and company name provided by the User violate any laws and regulations or national policy requirements, or infringe upon the legitimate rights and interests of any third party. Upon discovery, the Company shall have the right to prohibit Users from continuing to use their names, E-mail addresses and company names.

6. Rules of Use

6.1 Users must provide accurate and true personal information to the Company and obtain the Company's authentication before starting to use the software when accessing any service available on the "Bafang Dealer Service Platform". If there is any change in any personal information, it must be updated promptly. During such update, the Company shall have the right to suspend the User's right to use the software, and the User shall not continue to use the software until the Company has re-authenticated the updated information.

6.2 Users shall not transfer or lend their accounts and passwords to others. If a User discovers that his account has been illegally used by others, he shall notify the Company immediately. The Company shall not be liable for the unauthorized use of accounts and passwords due to hacking or negligence of custody by Users.

6.3 The Users agree that the Company shall have the right to publish various commercial advertisements or other commercial information of any kind in various ways during the provision of the services, and agree to accept the Company's sending of commodity promotion or other relevant commercial information to the Users by E-mail or other means.

6.4 Users must follow the following principles when accessing the services available on the "Bafang Dealer Service Platform":

6.4.1 Complying with relevant local laws and regulations;

6.4.2 Complying with all network protocols, regulations and procedures relating to the services;

6.4.3 Do not use the service system for any illegal purpose;

6.4.4 Do not infringe on the Company's commercial interests and conduct any behavior detrimental to the Company via the services available on the "Bafang Dealer Service Platform" in any form, including but not limited to releasing any commercial or non-commercial advertisements without the permission of the Company;

6.4.5 Do not conduct any behavior that may adversely affect the normal operation of the Internet or mobile network by making use of the service system of "Bafang Dealer Service Platform";

6.4.6 Do not upload, display or spread any false, harassing, defamatory, abusive, threatening, vulgar and obscene information, or any other information that violates public order, good customs or is illegal by making use of the services provided by the product;

6.4.7 Do not infringe the patent right, copyright, trademark right, reputation right or any other legitimate rights and interests of any third party;

6.4.8 Any statements, notices, warnings and other contents made by the Company in various ways (including but not limited to web announcements, E-mails, and SMS reminders) for the use of certain services available on the "Bafang Dealer Service Platform" shall be deemed as part of this Agreement. If the User uses these services, it shall be deemed that the User agrees with the contents of such statements, notices or warnings. If any User does not agree with such statements, notices or warnings, he/she shall immediately stop using these services.

6.5 The Company shall have the right to review and supervise (including but not limited to review the contents stored by Users in the Company) use of the services [including but not limited to the charged and free services (including the free services based on advertising business model)] available on the "Bafang Dealer Service Platform". If any User violates any of the above provisions when accessing the services, the Company shall have the right to require the User to correct or directly take all necessary measures (including but not limited to changing or deleting the content posted by the User, suspending or terminating the right of the User to access the services) to mitigate the impact caused by improper behavior of the User. If any User is liable to a third party for any of his or her behaviors, such liability shall be borne by the User himself or herself and shall have nothing to do with the Company.

6.6 The Company shall have the right to suspend, interrupt or terminate all or part of the services provided to the Users hereunder without prior notice to the Users based on any circumstances that the Company considers may harm the "Bafang Dealer Service Platform" or the Company on the basis of its independent judgment (including but not limited to User's violation of the principles set forth in Article 6.4 hereof) without any liability to the Users or any third party. In the event that any User's services are suspended, interrupted or terminated for the reasons set forth in this Article, the User shall act in accordance with Company's instructions, or he/she shall be deemed to be in breach of contract and shall be liable for breach of contract under Article 10.2 hereof, and the Company reserves the right to hold the User legally liable.

7. Service Usage and Management Provisions of "Bafang Dealer Service Platform"

7.1 The Users shall guarantee that all materials provided to the Company are true, complete, accurate, legal, and valid.

7.2 The ownership or use right of "Bafang Dealer Service Platform" shall be owned by the Company. Meanwhile, the ownership and all intellectual property rights of the service system of "Bafang Dealer Service Platform" are also owned by the Company.

7.3 If any user has any dispute with a third party during the use of the "Bafang Dealer Service Platform", the dispute shall be resolved by the parties themselves, and the Company shall not assume any compensation obligation. If any loss is caused to the Company, the user shall assume the compensation obligation to the Company. The Users shall not violate or refuse to comply with any agreement stipulated in the relevant regulations on that ground.

7.4 Users shall not take advantage of the services to engage in any illegal activities, otherwise the losses and liabilities caused thereby shall be borne by Users themselves.

7.5 The Company shall have the right to suspend or terminate access of the Users to the services at any time without prior notice based on factors including but not limited to reasons considered reasonable by the Company, risk control or force majeure, and shall not bear any liability for compensation.

8. Privacy Protection

8.1 The protection of user privacy is a basic policy of the Company. The Company guarantees that it will not disclose or provide any third party with the registration information of a single User or the non-public contents in the "Bafang Dealer Service Platform" system stored when Users access the services except:

8.1.1 The express consent of the User has been obtained in advance;

8.1.2 It is required in relevant laws and regulations;

8.1.3 It is required in requirements of relevant government departments;

8.1.4 It is required for safeguarding the interests of the public; and

8.1.5 It is required for safeguarding the legitimate rights and interests of the Company.

8.2 The "Bafang Dealer Service Platform" may cooperate with a third party to provide Users with relevant services. In such case, the Company shall have the right to provide the Users' registration information to the third party provided that the third party agrees to assume the same responsibility as the Company for protecting the Users' privacy.

8.3 Provided that the privacy information of a single user is not disclosed, the Company shall have the right to make reasonable use of the entire user database. The "Privacy Policy of Bafang Dealer Service Platform" of the Company is an integral part of this Agreement, and Users agree and accept that our Company will update this Privacy Policy from time to time. If any User does not accept the updated Privacy Policy, he/she shall immediately stop accessing the services.

9. Disclaimer

9.1 The Users expressly agrees that the risks arising from the access of the services shall be borne solely by themselves; and, all consequences arising from their access of the services shall be borne by the users themselves also. Unless otherwise agreed herein, the Company shall not assume any responsibility for the Users.

9.2 The Company does not guarantee the services in any form, including but not limited to the timeliness, safety and accuracy of the services. The Company shall not accept no liability for any direct, indirect, accidental, special and subsequent damages and risks arising from the use or failure to use the services under any circumstances.

9.3 Users shall bear the risks arising from service interruption or failure to meet their requirements due to force majeure, computer virus, hacker attack, system instability and any other causes of network, technology and communication line, and the Company shall not assume any responsibility.

9.4 The Company shall not assume any responsibility for the quality defects in the following products or services provided by the Company to Users and any losses caused by them:

9.4.1 Various services provided by the Company to Users free of charge;

9.4.2 Any products or services provided by the Company as gifts to Users; and

9.4.3 Various products or services provided by the Company as gifts to Users of the charged network services.

10. Default Compensation

10.1 In case of any loss caused to Users due to the Company's violation of relevant laws, regulations or any provisions hereunder, the Company agrees to assume the liability for damages caused thereby.

10.2 The User agrees that it will protect and safeguard the interests of the Company and other Users. In the event that any loss is caused to the Company or any other third party by any User's violation of relevant laws, regulations or any provision hereunder, the User agrees to be liable for the damages resulting therefrom, including but not limited to all direct and indirect losses.

11. Amendment of Agreement

11.1 The Company shall have the right to amend any provision of this Agreement at any time. In the event that any content of this Agreement changes, the Company will directly publish the amended contents of this Agreement on the Company's website, and such publication shall be deemed that the Users have been notified by the Company of the amended contents. At the same time, the Company may also remind Users of the amended contents in other appropriate ways.

11.2 If the User does not agree to any amendment made by the Company to the relevant provisions of this Agreement, he/she shall stop using the services. If the User continues to use the services, he/she shall be deemed to have agreed to and accepted the amendment made by the Company to the relevant provisions of this Agreement.

12. Delivery of Notice

12.1 All notices given by the Company hereunder to the User may be delivered by means of website announcement, announcement in the software, E-mail, mobile phone short message or regular mail delivery service. Such notice shall be deemed to have been delivered to the addressee on the date of delivery.

12.2 The notice sent by the Users to the Company shall be delivered to the Company's correspondence address, fax number, E-mail address and other contact information officially published by the Company. Such notice shall be deemed to be delivered on the date it is actually received by the Company.

13. Jurisdiction

13.1 The conclusion, execution and interpretation of this Agreement and any disputes arising out of or in connection with this Agreement shall be governed by the laws of the People's Republic of China.

13.2 In the event that any dispute is arisen from any content or execution of this Agreement, both parties shall try their best to settle the dispute through friendly negotiation; if no agreement can be reached through negotiation, either party may file a lawsuit with the people's court in the place where the Company is located.

14. Miscellaneous

14.1 If any provision of this Agreement is invalid or unenforceable in whole or in part for any reason, the remaining provisions of this Agreement shall remain valid and binding.

14.2 The headings in this Agreement are for convenience only, and interpretation of this Agreement shall not be limited by such headings.

14.3 The Company reserves the right to the final explanation of this Agreement.

I. How We Collect and Use Your Personal Information

(i) Account registration and login

When you register to use Bafang Dealer Service Platform, you need to provide us with your email address, and we will send you an email verification code to verify the validation of your identity. Your account name is your default nickname, and you can modify and supplement your nickname, all of which belongs to your "account information".

After registration, you may choose to log in with Bafang account information.

(ii) Display of goods/services information

To show you the goods or services, we will collect your device information (including device model, OAID/IDFA, IDFV, operating system and application version, language setting and resolution) and browser type to sort the corresponding goods or services and adapt to your application version and device interface.

To provide you with services of search history, browsing records, collected goods or stores, concerned stores, shopping carts or order goods or services display, we will collect your browsing information, search records, collected records, concerned records, added purchase information and order information.

(iii) Ordering and order management

When you choose to settle for goods/services, the platform will generate an order for your purchased goods. You need to fill in at least your consignee's name, receiving address and contact information in the order. We will also use your order information to determine whether there is any abnormality in your transaction to ensure the security of your transaction.

(iv) Payment function

After you place an order, you may choose the payment services provided by a third-party payment institution (Paypal and other payment channel, hereinafter referred to as "payment institution") that cooperate with Bafang. We need to share your Bafang order number and transaction amount information with these payment institutions to complete the order payment function. When you use the payment function, the payment institution will collect or verify your bank card (including savings card and credit card) and other necessary payment information through its page to confirm your payment instructions and complete the payment. which is specifically applicable to the corresponding privacy policy of each payment institution.

To understand your payment progress and status, we will collect the corresponding payment information from the payment institution you choose, including payment time, payment method and payment amount.

(v) Delivery of goods/services

When your order is completed, Bafang Electric (Suzhou) Co., Ltd. and its affiliated companies or distribution companies will complete the delivery of your order for you. You acknowledge and agree that Bafang Electric (Suzhou) Co., Ltd. and its affiliated companies or distribution companies will use your order information in the above links to ensure that the goods you ordered can be delivered safely.

(vi) Customer service and after-sales

Our customer service and after-sales functions will use your account information and order information. To ensure the security of your account, our call center customer service and online customer service will use your account information to verify your identity with you. We will check your order information when you need us to provide customer service and after-sales service related to your order information. In addition, when you apply for a refund or return, we need to collect your contact person, contact information and return address to ensure the completion of the corresponding after-sales service.

(vii) Ensurance of safe transactions

To ensure the stability and security of the system when you use our products and/or services, prevent your personal information from being illegally obtained, prevent fraud more accurately and protect account security, we need to collect your device information (device model, OAID/IDFA, Android ID/OPENUDID, IDFV, operating system and software version, device status and network status), log information, IP address, browsing information, order information, SIM card information (operator and country code) and battery usage to identify whether you are a real natural person user. Please note that if the information you released contains personal information, this part of personal information will be made public after you released it, so please choose carefully. If the information you released contains personal information of others, please obtain the consent of others in advance before releasing.

(viii) Rules for the use of other personal information

1. To count and analyze your use of our products or services to assist us in optimizing service experience and making product upgrade decisions, we will use the collected data after being encrypted and unable to re-identify specific individuals for machine learning, algorithm model training or other data analysis and mining processing.

2. If we want to use your personal information for purposes not specified in this Privacy Policy, or if we want to use information collected for specific purposes for other purposes, we will seek your express consent in advance.

2. We may share your personal information with our related parties or partners in order to provide you with relevant products or services, show you content that may be of interest to you, and protect the security of your account and transactions.

2. Disposal of security incident

To deal with the possible risks such as disclosure, damage and loss of personal information, we have formulated a number of systems to clarify the classification standards and corresponding processing procedures of security incidents and security vulnerabilities.
